Introduction
Sutaiyo Industries International Co., Ltd. ("the Company"), as a leading distributor of industrial lubricants in Thailand, is committed to conducting business with integrity, transparency, and sustainability. To this end, the Company has established this Vendor Code of Conduct to outline expectations for business partners, including product suppliers, service providers, contractors, and subcontractors. This Code does not apply to the Company’s employees, but is binding for all direct and indirect vendors and forms a part of the evaluation and selection process for long-term partnerships.
Scope
This Code applies to the areas of business ethics, human rights, legal compliance, and environmental sustainability. Vendors must comply with these guidelines throughout their business relationship with the Company and encourage their subcontractors or supply chain partners to do the same.
Business Ethics
Vendors must conduct themselves with honesty, integrity, and social responsibility, and must:
- Comply with laws: Respect local regulations including labor, tax, safety, and environmental laws.
- Combat corruption: Refrain from offering or accepting bribes or benefits of any kind to influence business decisions.
- Avoid conflicts of interest: Vendors must avoid situations that may cause a conflict with the Company's interests.
- Transparency: Provide accurate and truthful information in transactions and reports to the Company.
- Fair competition: Vendors must not engage in activities that hinder fair trade or market competition.
Human Rights
The Company values human dignity and expects its vendors to uphold and respect human rights, including:
- No child or forced labor.
- Fair wages and appropriate working conditions.
- Equality and non-discrimination based on gender, race, religion, disability, or other factors.
- Respect for labor rights and provision of benefits and compensation in accordance with local labor laws.
Environmental Sustainability
As a responsible industrial service provider, the Company expects its vendors to demonstrate environmental responsibility, including:
- Waste and pollution reduction: Implement proper waste and pollution control measures.
- Efficient resource usage: Actively reduce the use of energy, water, and materials.
- Environmental compliance: Adhere to environmental laws and manage hazardous waste properly.
- Support for sustainability initiatives: Vendors should participate in or implement at least one environmental conservation or sustainability project.
Monitoring and Compliance
The Company reserves the right to request information or conduct audits to assess vendor compliance. In cases of non-compliance, the Company may:
- Require notification and compliance from subcontractors used by the vendor.
- Issue a formal warning and request corrective actions.
- Suspend or terminate business contracts.
- Disqualify the vendor from future procurement processes.
- Update and revise this Code without prior notice; vendors are expected to comply with the latest version.
